Southeast Telephone Terms of Service
  • Thank you for choosing Southeast Telephone Service as your telecommunications service provider. Upon submitting for, ordering, or paying for service with Southeast Telephone Service, Inc., a customer agrees to our standing contractual agreement. You may find this contract below.
  • PROVISION OF SERVICES AND AGREEMENT
  • (a) This Services Agreement (“Contract”), including any addenda or amendments, is made by and between Customer and Southeast. “Southeast” means Southeastern Poolphone Service Inc. Customer must submit a service order form, invoice, or other form of order for service, equipment or materials incorporating this agreement to Southeast. “Service Order” The Service Order will specify telecommunications and maintenance services ordered from Southeast, including but not limited to voice, data, and information services (together, “Services”), equipment or materials to be sold, licensed or leased to Customer, delivery location (the “Premises”), prices, and term commitments for the Services. This Contract and the Service Order together are referred to as the “Agreement”.
  • TERM
  • This Contract is effective on the date of your acceptance of this Agreement upon execution of a Service Order between Customer and Southeast. The term of the service order commences at the Acceptance of the services. At the end of the initial term for the Service Order, the term shall renew for successive three year renewal terms until terminated pursuant to this Agreement. Either party may prevent renewal of this Agreement by providing a written notice to the other party at least 30 days prior to the end of the initial term or a renewal term.
  • INSTALLATION OF SERVICE
  • Southeast will use every effort to install service by requested date. “Acceptance” is actual use of the Services by Customer, or 10 days after completion of testing of the Services. Upon notice by Southeast to Customer, Customer shall provide Southeast access to the Premises to deliver the Services. Southeast reserves the right to interrupt the Services for maintenance or repair, and will coordinate with Customer to minimize any impact.
  • BILLING AND PAYMENT
  • Billing for services commences upon Acceptance. Customer shall pay all invoices to Southeast within 30 days after invoice due date. Southeast will bill monthly in advance for the services. Invoices shall include a) the fixed monthly recurring charges and all nonrecurring charges b)all current and future taxes and surcharges c) Interest calculated at 2.5% monthly on all amounts not paid within 30 days of invoice due date. Late payment penalty interest will increase on a graduated scale from 2.5% after 30 days to 5% after 60 days up to 7% (or highest state law will allow) after 90 days after invoice due date d)all other charges and fees set herein. Should customer elect to dispute invoice it should be done so in written form notice to Southeast within 90 days after invoice due date. Notices shall be sent to Southeast Billing Dispute Department, PO Box 475, Fuquay Varina, NC, 27526. or billing@southeasttelephone.net.
  • CUSTOMER RESPONSIBILITIES
  • Customer acknowledges they are eighteen (18) years of age or older and that they have the legal authority to enter into this Agreement. Customer agrees promptly to notify Southeast whenever personal or billing information changes. Customer is responsible for all use of your Service and account, whether by you or someone using your account with or without your permission, including all secondary or sub-accounts associated with your primary account, and to pay for all activity associated with your account. You agree to comply with all applicable laws, regulations and rules regarding your use of the Service.
  • SERVICES
  • The Service you select may not be available in all areas or at the rates, speeds, or bandwidth generally marketed, and some locations may not qualify for the Service even if initial testing showed that your line was qualified. Bandwidth is provided on a per-line (not a per-device) basis. The bandwidth available to each device connected to the network will vary depending upon the number, type and configuration of devices using the Service and the type of use (e.g., streaming media), among other factors. The speed of the Service will vary based on network or Internet congestion, your computer configuration, the condition of your telephone line and the wiring inside your location, among other factors. We and our suppliers reserve the right, at any time, with or without prior notice to you, to restrict or suspend the Service to perform maintenance activities.
  • LEGAL COMPLIANCE
  • Customer shall bear the entire responsibility for, and risk of loss arising from, unauthorized, abusive, or fraudulent use of the Services. Southeast reserves the right, but is not required, to take any and all action it deems appropriate (including blocking access to the Services) to prevent any fraud or abuse in connection with the Services.
  • TERMINATION
  • (a) Customer or Southeast may terminate the Services and this Agreement without any liability if: (i) any material rate, term, or condition for such Services or underlying facilities is substantially changed by a court, regulatory agency with competent jurisdiction, or third party provider (b) Southeast may terminate this Agreement or suspend Services without any liability if: (i) after 10 days (or longer notice if required by law) written notice from Southeast, Customer does not pay all amounts due for any Services; (ii) Customer is involved in suspected or actual fraud, misrepresentation, or other violation of law; (iii) Customer becomes insolvent or bankrupt; or (iv) as otherwise set forth herein. If Southeast terminates this Agreement under this section, then Southeast will deem any or all Service Orders terminated by Customer.
  • DISCLAIMER
  • YOU ACKNOWLEDGE AND AGREE THAT THE SERVICE SUPPLIED HEREUNDER IS PROVIDED ON AN "AS IS" OR "AS AVAILABLE" BASIS, WITH ALL FAULTS. EXCEPT AS OTHERWISE SPECIFICALLY SET FORTH IN THIS AGREEMENT AND AS OTHERWISE SPECIFICALLY SET FORTH IN ANY MANUFACTURER WARRANTY FOR ANY EQUIPMENT PROVIDED BY SOUTHEAST (BUT ONLY IF SUCH WARRANTY IS INCLUDED WITH SUCH EQUIPMENT). ITS THIRD PARTY LICENSORS, PROVIDERS AND SUPPLIERS, DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS FOR THE SERVICE, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THERE IS NO WARRANTY OF WORKMANLIKE EFFORT OR LACK OF NEGLIGENCE. NO ADVICE OR INFORMATION GIVEN BY SOUTHEAST OR ITS REPRESENTATIVES SHALL CREATE A WARRANTY WITH RESPECT TO ADVICE PROVIDED.
  • PRIVACY
  • Personal information you provide to Southeast is governed by our Privacy Policy, which is posted on the Website and is subject to change. Southeast reserves the right to provide account and user information, including email, to third parties as required or permitted by law (such as in response to a subpoena or court order), and to cooperate with law enforcement authorities in the investigation of any criminal or civil matter.
  • NOTICE
  • Notices under this Contract by customer must be sent to Southeast at PO Box 475 Fuquay Varina, NC 27526 or by electronic mail at support@southeasttelephone.net. Notice shall be affective upon date sent.
  • PROVISIONS
  • (a) This Agreement may only be amended in writing signed by duly authorized officers of both parties. (b) Service Orders and any authorized amendments may be executed in counterparts which together shall constitute a single agreement. (c) Customer shall not assign or transfer any of its rights or obligations under this Agreement without Southeast’s prior written consent. (d)This Agreement shall be interpreted, construed and enforced in accordance with the laws of the Commonwealth of North Carolina without regard to its conflict of laws principles. (e) Descriptive headings used herein shall not affect the construction or interpretation of the Agreement. (f) Customers credit information may be used and verified by Southeast accordingly (g) Customer certifies that any information provided to Southeast is true and accurate to the best of its knowledge. (h) This Agreement shall remain in effect if Customer moves to an area not served by Southeast or if Customer decreases or ceases any or all of its business operations, regardless of whether notice is provided.
